Terms of Service

1. Privacy

Our Privacy Policy explains how the Service processes personal information, including through third-party AI. By using Catharone, you acknowledge that you have read that Policy. The Policy is not a waiver of any non-waivable privacy right.

2. Eligibility and geographic scope

You must be at least 18 years old, have legal capacity to enter a binding agreement, and not be prohibited from using the Service under applicable law. Catharone is intended for initial use in the United States. You may not create an account for someone else or use the Service if we previously suspended you unless we give written permission.

3. The Catharone Service

Catharone provides AI conversation, longitudinal memory, profile-informed personalization, proactive check-ins, usage-limited free and subscription access, and possible introductions to other Catharone users. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable license to use the Service for lawful personal purposes.

Features, models, usage limits, response timing, matching eligibility, and availability can change. We may add, modify, limit, pause, or discontinue part of the Service when reasonably necessary for safety, law, maintenance, provider changes, product development, or business operations. We will provide notice where required by law.

4. AI output and important limitations

Catharone is an artificial-intelligence system, not a human being. It does not have human feelings, consciousness, judgment, or lived experience, even when its conversational language may suggest personality, care, memory, or emotion.

Catharone's replies and other generated content are produced by automated systems. They can be incomplete, inaccurate, outdated, biased, offensive, or unsuitable. Similar or identical output may be generated for other people. You are responsible for evaluating output before relying on, sharing, or acting on it.

Catharone is not a medical, mental-health, legal, financial, safety-monitoring, or emergency service. It does not diagnose, treat, provide professional advice, continuously monitor messages, or guarantee that a person will intervene. Do not use it as a substitute for a qualified professional or emergency service. If you or someone else may be in immediate danger, contact local emergency services.

5. Accounts and security

Catharone uses phone-number and one-time-code authentication. You must provide accurate information, maintain control of your phone number and device, protect verification codes, and promptly notify us of suspected unauthorized access. You are responsible for activity through your account unless applicable law provides otherwise.

You may not sell, rent, transfer, share, or create accounts to evade limits or enforcement. Account deletion is available in Settings and at cathar.one/delete. Deleting your Catharone account does not cancel an App Store or Google Play subscription.

6. Memory, profiles, and automated features

Memory and internal profile inference are core parts of the Service. Catharone may derive memories, interests, personality traits, language, general city, time zone, and similar context from conversation and device signals as explained in the Privacy Policy. These records can be imperfect. You may correct Catharone through conversation, request access or correction through support, or delete your account.

Automated systems may decide how to personalize a response, whether to propose an introduction, how to apply usage limits, and whether a peer message is delivered or blocked. We do not promise that a particular memory, match, introduction, message, or proactive check-in will be created or delivered.

7. Your content and license to operate the Service

“Your Content” includes prompts, messages, reports, and other information you submit, but not feedback governed by Section 12 or replies and other content generated by Catharone. As between you and XYSOFT, you retain any rights you have in Your Content. You represent that you have the rights and permissions needed to submit it and that doing so does not violate law or another person's rights.

You grant XYSOFT a non-exclusive, worldwide, royalty-free license to host, reproduce, transmit, transform, analyze, moderate, display, and otherwise process Your Content only as reasonably necessary to provide, secure, maintain, troubleshoot, and improve the functionality and reliability of the Service, enforce these Terms, and comply with law. This license includes sending relevant content to the service providers described in the Privacy Policy and delivering peer messages to the intended recipient. It does not permit XYSOFT to use private conversation content to train a generalized or foundation AI model or for advertising. The license ends when the content is deleted from the Service, except to the extent content has been shared with another user or must be retained for a purpose described in the Privacy Policy.

8. Catharone output

Subject to these Terms and to the extent permitted by law, as between you and XYSOFT, you may use Catharone's output and XYSOFT assigns to you any rights it may have in output generated specifically for you. Output may not be unique, and another user may receive similar or identical output. These Terms do not represent that any output is eligible for copyright or other legal protection.

Your rights in output do not include XYSOFT's software, branding, system prompts, internal profiles, scoring methods, safety rules, or other underlying materials. You are responsible for ensuring that your use of output complies with law and does not violate another person's rights.

9. Introductions and peer conversations

Catharone may suggest a non-identifying introduction based on what it has learned through conversation. You choose whether to open or ignore it. XYSOFT does not verify identity, perform background checks, or guarantee compatibility, conduct, availability, or safety. You assume the ordinary risks of communicating with or meeting another person. Protect personal information, use independent judgment, and take appropriate precautions.

Peer messages are automatically screened before delivery and may be blocked. Reports or serious safety signals may close a conversation and prevent another introduction between the pair. Screening is imperfect and is not continuous human monitoring. You may leave or report a peer conversation at any time and may request review of a safety decision through Support.

10. Acceptable use

You must not use the Service to:

• violate law, court order, sanctions, or another person's rights;
• threaten, harass, exploit, stalk, defraud, impersonate, discriminate against, or harm another person;
• sexualize or exploit minors, facilitate violence or self-harm, or distribute unlawful, abusive, hateful, or sexually exploitative content;
• request or distribute passwords, one-time codes, payment credentials, private keys, malware, or instructions intended to compromise accounts or systems;
• spam, scrape, probe, reverse engineer, overload, or disrupt the Service;
• evade safeguards, usage limits, moderation, subscriptions, rate limits, or account restrictions;
• access, infer, identify, expose, or misuse another person's account, data, internal profile, location, identity, or contact information without authorization;
• misrepresent AI output as verified professional advice or human authorship; or
• use Catharone to build, train, benchmark, or operate a competing service at scale.

You may not use output in a way that violates law or another person's rights. We may investigate suspected violations and preserve relevant records as described in the Privacy Policy.

11. Subscriptions and usage limits

Catharone Plus is an optional auto-renewing monthly subscription. Before purchase, the app and store confirmation display the current localized price, billing period, and included benefits. The price shown by the store when you confirm the purchase controls. Taxes and currency conversion may apply. Your App Store or Google Play account is charged when you confirm the purchase, and the subscription renews automatically unless canceled through that store before renewal.

Apple or Google controls payment processing, renewal, cancellation, and applicable refunds. You can restore purchases in Catharone and manage an active subscription through the store-management link. Deleting Catharone or your account does not cancel store billing. Cancel first through the store if you do not want the subscription to renew.

Free and paid use is subject to quotas and technical limits. A subscription increases specified allowances but does not promise unlimited use, any particular model, continuous availability, or any particular result. We may adjust prospective allowances to protect reliability and economics, while honoring purchased access and applicable store rules.

12. XYSOFT property and feedback

The Service, software, design, names, marks, system prompts, internal profiles, scoring methods, safety rules, and other XYSOFT materials are owned by XYSOFT or its licensors and protected by applicable law. Except for the limited license in Section 3, these Terms do not grant you ownership or permission to use XYSOFT branding or confidential technology.

If you provide suggestions or feedback, you grant XYSOFT a perpetual, irrevocable, worldwide, royalty-free right to use them without restriction or compensation, without identifying you publicly without permission.

13. Enforcement, suspension, and termination

We may make reasonable, good-faith operational determinations about whether content or conduct violates these Terms or creates legal, security, safety, provider, or service integrity risk. We may block a message, restrict a feature, reduce abusive traffic, close a peer conversation, preserve evidence, suspend or terminate an account, or take other proportionate action, with or without advance notice when immediate action is reasonably necessary.

You may stop using Catharone or delete your account at any time. You may contact support to appeal a safety, suspension, or termination decision. Our service-level decision remains in effect while an appeal is reviewed. Nothing in this section makes XYSOFT the final legal interpreter of these Terms, waives a non-waivable right, or prevents review by a court, regulator, or other authorized body.

On termination, your license to use the Service ends. Sections that by their nature should survive—including intellectual property, retained-content licenses, disclaimers, liability limitations, indemnification, disputes, and miscellaneous terms—survive.

14. Third-party services and service availability

Catharone depends on third-party infrastructure, AI, notification, crash-reporting, subscription, device, network, and app-store services. Their outages, policies, and actions may affect Catharone. Third-party services are governed by their own terms when they act directly for you, and XYSOFT is not responsible for third-party products outside our control.

When you download Catharone or purchase a subscription through Apple or Google, the applicable store, device, and payment terms also apply to your relationship with that company. XYSOFT, not Apple or Google, is responsible for Catharone and its content, support, and claims concerning the Service, except to the extent the store's terms or applicable law provide otherwise.

We may perform maintenance, respond to incidents, change providers, and suspend all or part of the Service. We do not guarantee that messages, memories, notifications, introductions, subscriptions, or account data will always be available, recoverable, timely, or error free.

15. Disclaimers

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE AND ALL OUTPUT ARE PROVIDED “AS IS” AND “AS AVAILABLE.” XYSOFT AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS DISCLAIM ALL EXPRESS, IMPLIED, AND STATUTORY WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, RELIABILITY, AVAILABILITY, AND SAFETY.

We do not warrant any particular emotional, social, professional, health, relationship, matching, or subscription outcome. Some jurisdictions do not allow certain exclusions, so those exclusions apply only to the extent permitted.

16. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY LAW, XYSOFT AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR LOSS OF DATA, GOODWILL, PROFITS, OR OPPORTUNITY, ARISING FROM OR RELATING TO THE SERVICE, AI OUTPUT, AN INTRODUCTION, ANOTHER USER, OR A THIRD-PARTY SERVICE, EVEN IF ADVISED THAT SUCH DAMAGE IS POSSIBLE.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR ALL CLAIMS ARISING FROM OR RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR CATHARONE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) $100 USD.

These limitations do not exclude liability that cannot lawfully be limited, including liability for fraud, willful injury, or violation of law where exclusion is prohibited.

17. Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless XYSOFT and its affiliates and personnel from third-party claims, losses, liabilities, and reasonable expenses arising from Your Content, your unlawful or unauthorized use of the Service, your material breach of these Terms, or your violation of another person's rights. This does not require you to indemnify XYSOFT for XYSOFT's own unlawful conduct.

18. Disputes and governing law

Before filing a formal claim, you and XYSOFT agree to try in good faith to resolve the dispute for 30 days after written notice, unless urgent injunctive relief or applicable law makes that impractical. Send notice to the contact address below with enough information to understand the dispute and requested resolution.

These Terms are governed by California law and applicable United States federal law, without regard to conflict-of-law principles. Unless applicable law requires otherwise, claims that are not resolved informally will be brought in the state or federal courts located in Sacramento County, California, and each party consents to their jurisdiction. Mandatory consumer protections in your place of residence remain unaffected.

19. Changes to these Terms

We may update these Terms to reflect changes to the Service, providers, business, or law. We will update the date above and provide additional notice of material changes where appropriate or required. Changes apply prospectively from their effective date. If you do not agree to updated Terms, stop using the Service and delete your account.

20. Miscellaneous

These Terms and the Privacy Policy are the entire agreement between you and XYSOFT regarding the Service and supersede prior agreements about the same subject. If a provision is unenforceable, it will be enforced to the maximum lawful extent and the rest will remain effective. Failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. We may assign them in connection with a reorganization, financing, merger, acquisition, or sale of the Service or related assets. No agency, partnership, joint venture, employment, fiduciary, or beneficiary relationship is created by these Terms.

Headings are for convenience. “Including” means “including without limitation.” These Terms are written in English; any translation is for convenience, and the English version controls to the extent permitted by law.
